ABOUT US
Counsel for companies navigating growth, transition, and change.
We advise companies across the business lifecycle—from startups building their first commercial infrastructure to Series A and later-stage companies that need experienced outside counsel embedded in the business.
Our focus is on the transactional and operational work that drives day-to-day operations: contracts, technology agreements, M&A, corporate governance, and compliance. Technology is our primary industry, but our clients span multiple sectors.
PRACTICE AREAS
We focus on business and technology law across the full lifecycle of a company, from formation through growth, financing, and exit. Our clients range from early-stage startups to public companies seeking the responsiveness of a boutique law firm.
BUSINESS FORMATION & GOVERNANCE
Entity formation, operating agreements, governance structures, founder arrangements, board matters, and ongoing corporate maintenance. We help companies establish the right legal foundation and adapt it as the business evolves.
TECHNOLOGY AGREEMENTS & COMMERCIAL CONTRACTS
SaaS agreements, software licenses, data processing agreements, IP development and transfer agreements, vendor and customer contracts, and product counseling. The agreements that govern how technology products are built, licensed, distributed, and protected.
DATA PRIVACY & COMPLIANCE
GDPR, CCPA/CPRA, privacy program development, data governance, and operational compliance counseling. We help companies build privacy and compliance into their products and operations from the beginning.
CORPORATE FINANCING & M&A
Debt and equity financings, acquisitions, divestitures, mergers, and strategic transactions from letter of intent through closing, including due diligence, deal structuring, and documentation.
HOW WE WORK
Legal counsel integrated into the business
Companies at every stage of growth need counsel that understand their business, not just the law. We work as an extension of your team to help you stay ahead of legal and compliance issues before they arise. Available at a predictable cost that won't discourage you from calling.
We function as your outside general counsel—present in the decisions that matter, not just the paperwork that follows. Your legal work is handled by the lawyers you hired, not passed off to someone you have never met.
Built for the way modern companies operate
Embedded counsel
We offer subscription and flat-fee arrangements that put the incentives in the right place in those cases where it makes sense: predictable costs, no timesheets, and no reason to hesitate before calling. Hourly arrangements are also available.
Flexible billing
Technology-forward
Aligned incentives
In-house legal teams are adopting AI rapidly and expect their outside counsel to do the same—with the efficiency gains passed along, not pocketed. We built this firm to meet that expectation, not catch up to it.
Our fee structures reward efficiency, not complexity. We are incentivized to solve your problems cleanly. Our success is measured by yours.
THE TEAM
Our
Partners
Amy and Andrew founded Weston & Liese because the companies they most wanted to serve deserved a different kind of outside counsel: sophisticated legal advisors who operate like part of the business, communicate practically, price rationally, and keep pace with how modern companies actually work.
They built the firm they wished existed.
